1. Services Provided

BZIONE LLC offers digital marketing and SEO-related services, including but not limited to:

• Content Strategy & Optimization
• Technical SEO Audit & Fixes
• Backlink Building & Outreach

The specific scope, deliverables, timeline, and fees for any engagement will be outlined in a separate service agreement, proposal, or invoice (“Service Agreement”) provided to the Client prior to commencement of work. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement will govern.

2. Eligibility

By using our Site or Services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent.

3. Client Responsibilities

To perform our Services effectively, Client agrees to:

• Provide timely, accurate, and complete information, including website access credentials, content, and approvals as reasonably requested
• Designate a primary point of contact for communication and decision-making
• Respond to requests for feedback, approvals, or materials within a reasonable timeframe
• Ensure that all content, materials, and information provided to BZIONE LLC do not infringe on any third party’s intellectual property, privacy, or other rights
• Comply with all applicable laws in connection with their website and business operations

Delays caused by the Client’s failure to meet these responsibilities may affect project timelines and are not the responsibility of BZIONE LLC.

4. Fees and Payment

• Fees for Services are set out in the applicable Service Agreement or invoice.
• Payment terms, including due dates and accepted payment methods, will be specified at the time of purchase.
• Late payments may result in suspension of Services until payment is received in full.
• All fees are exclusive of applicable taxes unless otherwise stated; Client is responsible for any taxes associated with the purchase of Services.

5. No Guarantee of Results

Client acknowledges and agrees that:

• SEO and digital marketing outcomes (including search engine rankings, organic traffic, and conversions) are influenced by numerous factors outside BZIONE LLC’s control, including search engine algorithm changes, market competition, and industry trends.
• BZIONE LLC does not guarantee specific rankings, traffic levels, conversion rates, or timeframes for results.
• Any performance figures, case studies, or testimonials referenced on our Site or in our marketing materials are illustrative and not a guarantee of similar results for every client.

6. Intellectual Property

• Our Content: All content on the Site, including text, graphics, logos, and design elements, is the property of BZIONE LLC or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, or distribute this content without our prior written consent.
• Client Materials: Client retains ownership of all materials, content, and intellectual property it provides to BZIONE LLC. Client grants BZIONE LLC a limited, non-exclusive license to use such materials solely for the purpose of performing the Services.
• Deliverables: Unless otherwise stated in a Service Agreement, upon full payment, Client owns the final deliverables created specifically for the Client (e.g., audit reports, content pieces). BZIONE LLC retains ownership of its proprietary methodologies, tools, templates, and processes used to create those deliverables.

7. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during the course of the engagement, and to use such information solely for the purpose of fulfilling obligations under these Terms, except where disclosure is required by law.

8. Third-Party Services and Links

Our Services may involve the use of third-party tools, platforms, or publishers (e.g., analytics software, outreach platforms, or backlink placements). BZIONE LLC is not responsible for the availability, accuracy, or practices of third-party services. Our Site may also contain links to third-party websites, which are provided for convenience only and do not constitute an endorsement.

9. Limitation of Liability

To the fullest extent permitted by law:

• BZIONE LLC’s total liability arising out of or related to these Terms or the Services shall not exceed the total amount paid by Client to BZIONE LLC in the three (3) months preceding the claim.
• BZIONE LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from the use of our Services or Site, even if advised of the possibility of such damages.
• BZIONE LLC is not liable for any changes in search engine algorithms, third-party platform policies, or market conditions that affect Client’s results.

10. Indemnification

Client agrees to indemnify and hold harmless BZIONE LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from: (a) Client’s breach of these Terms; (b) content or materials provided by Client that infringe third-party rights; or (c) Client’s violation of applicable laws.

11. Termination

• Either party may terminate a Service Agreement in accordance with the notice terms specified therein, or as outlined in our Refund & Return Policy for recurring plans.
• BZIONE LLC reserves the right to suspend or terminate Services immediately if Client fails to make payment, breaches these Terms, or engages in conduct that is unlawful, abusive, or harmful to BZIONE LLC’s business or reputation.
• Upon termination, Client remains responsible for payment of all fees incurred for work performed up to the date of termination.

12. Disclaimer of Warranties

The Site and Services are provided on an “as is” and “as available” basis. BZIONE LLC makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, except as expressly set out in these Terms or a Service Agreement.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Bernalillo County, New Mexico.

14. Changes to These Terms

BZIONE LLC reserves the right to modify these Terms at any time. Changes will be posted on this page with a revised “Effective Date.” Continued use of our Site or Services after changes are posted constitutes acceptance of the updated Terms.

15. Severability
